Who Can Invest

A “qualified purchaser” is an individual or a family-owned business that owns $5 million or more in investments. The term “investments” shouldn’t include a primary residence or any property used for business.

Notice the benchmark for a qualified purchaser is investments rather than net assets, which is a standard you may be used to seeing for investor accreditation.

The term “investments” is fairly broad here and includes stocks, bonds, futures contracts, cash and cash equivalents, commodity futures contract, real estate, financial contracts and other alternative assets held for investment purposes.

Other qualified purchaser categories include:

  • an individual or entity (for example, a fund manager) that invests at least $25 million in private capital, on its own account or behalf of other qualified purchasers;
  • a trust sponsored and managed by qualified purchasers; or
  • an entity owned entirely by qualified purchasers.
I am located abroad (or my entity is located abroad); can I invest?

Certainly; as long as the required compliance checks are completed (accreditation, background and ID checks for regulation, Anti-Money Laundering and Office of Foreign Assets Control list, etc.), from a U.S. perspective, you are eligible to invest. These are required for all clients, whether domestic or international.

Who are Avitas Capital's 3rd-party legal, administrative, and audit firms?

Avitas Capital’s outside legal Counsel is Bull Blockchain Law. Avitas Capital’s fund administrator, Stonegate Global Fund Administration, LLC, is an organization with a proven track record of providing premier fund administrative services. Avitas Capital funds are audited by Richey May & Co. on a regular basis.

Please note that we do not provide legal counsel to investors. All parties are responsible for making sure they understand the benefits and risks of this asset class and any associated transaction.

The investment objective of Avitas Capital Ascent Fund, LP (“Fund”) is to generate superior returns applying a multi-asset investment strategy that dynamically allocates capital among private, late-stage companies and other public and private non-correlated assets. Typical investments include private companies (expected to go public via an Initial Public Offering (“IPO”)), publicly traded equities, listed options, and co-investment opportunities.
The Fund is designed to serve as a satellite portfolio holding for investors seeking the potential for superior returns over a 3-5 year holding period.

How can Avitas Capital be confident that it will be able to source the fund's targeted components?

Avitas Capital carefully deploys into targeted positions as opportunities present themselves with no dedicated time horizon. following the Q4 2020 launch of its initial offering, the Avitas Capital Ascent Series B & C fund deployed its resources in less than one year.

On a forward-looking basis, Avitas Capital remains strategically partnered with a number of strategic partners that lead the private secondary marketplace and have brokered several billion in historical secondary transaction volumes. These strategic partners have facilitated transactions within the past 12 months in the vast majority of initial target components and have open offers for several of the remaining. Avitas Capital will work closely with our partners to source additional, untapped supply.

Will the fund hold public securities?

Yes. All assets of the Fund will be divided amongst public & private series of the Ascent Fund. Additionally, if we choose to hold a private position that has since gone public through an IPO in the private series, we will be likely bound by the standard lock-up provision, hence for around ~180 days, we will be holding public securities in the private series. We will plan to fully liquidate the public position within 6 – 12 months following lock-up expiration.
